1. About these terms
These terms cover your use of dilutioniq.com and the DilutionIQ beta ("the service"). DilutionIQ is run by [COMPANY NAME] Ltd, a company registered in England and Wales with company number [COMPANY NUMBER], whose registered office is [REGISTERED OFFICE ADDRESS] ("we", "us").
By using the site you agree to these terms. If you don't agree, please don't use it. You must be 18 or over to use the service.
2. Not investment advice
DilutionIQ provides general information and education about public company filings, such as share issuance, offerings, warrants and convertible notes. In particular:
- Nothing on the service is investment, financial, tax or legal advice, or a personal recommendation.
- Nothing on the service is an offer or invitation to buy or sell any security, option or other investment.
- The dilution meter, scores, estimates and the Options Lens describe facts and estimates about share supply. They are not buy, sell or hold signals, and they don't predict prices.
- We don't know your circumstances, goals or attitude to risk, and nothing on the service takes them into account.
- We are not authorised by the Financial Conduct Authority (FCA) or any other regulator to give investment advice or to deal in investments.
Trading small-cap stocks and options carries a high risk of losing money quickly, and you can lose all of your money. Options can expire worthless. Past events, including those used in our lessons, don't tell you what will happen next. If you need advice, speak to a regulated financial adviser.
You are solely responsible for any investment decision you make, including any decision made after using the service.
3. Data and accuracy
Most of our information comes from public filings made with the US Securities and Exchange Commission (SEC) and from other public sources. We take care to get it right, but:
- Filings can be amended, and companies can issue shares before they report it.
- Prices, share counts and other figures may be delayed and are not real-time unless we say so.
- Estimates, such as how much of an at-the-market program is left, are calculations based on assumptions and can be wrong.
- Examples marked as illustrations use made-up companies and figures.
Every figure should be checked against the original filing before you rely on it. We're not responsible for errors in third-party data.
4. The beta
The beta is free and still being built. That means features may change, break, be limited or be removed, and the service may be unavailable at times. We can end the beta, or your access to it, at any time. We'll try to give notice where we reasonably can.
5. Using the site
You agree not to:
- copy, scrape, crawl or download the service's data or content in bulk, or use automated tools to access it, without our written permission;
- resell, republish or redistribute our content, scores or analysis, or present them as your own;
- use the service to mislead others, manipulate markets, or break any law or regulation;
- try to get around security or access limits, or interfere with how the service works;
- share your login, if you have one, with anyone else.
You can quote small parts of our public content with a credit and a link to dilutioniq.com.
6. Our content
The DilutionIQ name and logo, the site design, the lessons, the scoring method, the text, diagrams and software belong to us or our licensors. Public filings themselves are not ours. Our selection, analysis and presentation of them is. Using the service doesn't give you any ownership of our content.
7. Links to other sites
We may link to other sites, such as the SEC's EDGAR system. We don't control those sites and aren't responsible for their content. A link isn't an endorsement.
8. Our liability
We provide the free service "as is" and "as available". As far as the law allows:
- we don't promise that the service will be accurate, complete, uninterrupted or error-free;
- we're not liable for any trading or investment losses, lost profits, or decisions made using the service;
- we're not liable for losses that weren't reasonably foreseeable, or for business losses.
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law doesn't allow us to limit. If you're a consumer, these terms don't affect your legal rights.
9. Paid plans
When premium plans launch, they'll come with their own subscription terms covering price, billing, cancellation and refunds. We'll show you those before you pay. Until then, the service is free.
10. Changes to these terms
We may update these terms as the service grows. The date at the top shows when they last changed. If a change is significant, we'll tell beta members by email before it takes effect. If you keep using the service after a change, the new terms apply.
11. Law and disputes
These terms are governed by the law of England and Wales, and the courts of England and Wales can hear any dispute. If you're a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts.
If something goes wrong, please contact us first. We'll try to sort it out quickly.
